1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the AI Operations Hub platform, software, and related services (collectively, the "Service") provided by AI Operations Hub ("Company," "we," "us," or "our").
1.2 Acceptance
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.
1.3 Eligibility
You must be at least 18 years old and capable of forming a binding contract. The Service is intended for business use only.
1.4 Changes to Terms
We may modify these Terms at any time with 30 days' notice. Your continued use after changes take effect constitutes acceptance.
2. Description of Service
2.1 Service Overview
AI Operations Hub provides document processing, email automation, and internal knowledge management tools, including:
- Document classification and data extraction
- Email triage and response drafting
- Internal knowledge base and query answering
- Related APIs and integrations
2.2 On-Premise Deployment
The Service is designed to operate on your infrastructure. You are responsible for providing and maintaining the hardware, network, and operating environment required.
2.3 Service Availability
We aim to provide reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance or circumstances beyond our control.
3. Account Registration and Security
3.1 Account Creation
You must create an account and provide accurate, complete information. You agree to keep your information current.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your credentials
- All activities under your account
- Notifying us immediately of any unauthorised access
3.3 API Keys
API keys are confidential. You are responsible for all usage associated with your keys. Compromised keys should be revoked immediately.
4. Subscription and Payment
4.1 Subscription Tiers
The Service is offered in tiers (Starter, Professional, Enterprise) with different features and pricing available on our website.
4.2 Fees and Billing
- Fees are billed in advance (monthly or annually)
- All fees are in British Pounds (GBP)
- Fees are non-refundable except as stated in these Terms
4.3 Late Payment
- Payments more than 14 days late may incur interest at 4% above the Bank of England base rate
- Accounts more than 30 days overdue may be suspended
- Accounts more than 60 days overdue may be referred to collections
4.4 Price Changes
We may change prices with 30 days' notice. Changes take effect at your next billing cycle.
5. Acceptable Use
5.1 Permitted Use
You may use the Service for lawful business purposes in accordance with these Terms.
5.2 Prohibited Conduct
You agree NOT to:
- Use the Service for any unlawful purpose
- Attempt unauthorised access to the Service
- Introduce malware or harmful code
- Reverse engineer or decompile the Service
- Resell or sublicense the Service without consent
- Exceed usage limits without payment
6. Your Data
6.1 Ownership
You retain all ownership rights to data you upload or process through the Service ("Your Data"). We claim no ownership of Your Data.
6.2 On-Premise Data Processing
When using On-Premise Deployment:
- Your Data remains on your infrastructure
- Your Data is not transmitted to our servers
- We do not have access to Your Data unless you grant it for support
6.3 No Training on Your Data
We do not use Your Data to train machine learning models. Your Data is processed solely to provide the Service to you.
6.4 Data Responsibilities
You are responsible for the accuracy, quality, and legality of Your Data, obtaining necessary consents, maintaining backups, and complying with data protection laws.
7. Privacy and Data Protection
Our collection and use of personal information is governed by our Privacy Policy.
If you process personal data using the Service, you are responsible for complying with UK GDPR and the Data Protection Act 2018.
Data Processing Agreements are available upon request.
8. Intellectual Property
8.1 Our Intellectual Property
The Service, including software, algorithms, designs, and documentation, is owned by us and protected by intellectual property laws.
8.2 Limited Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes during your subscription.
8.3 Restrictions
You may not copy, modify, reverse engineer, rent, lease, sell, or sublicense the Service.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
AI Limitations: The Service uses artificial intelligence which may produce errors. You are responsible for reviewing and verifying all outputs before relying on them.
No Professional Advice: The Service does not provide legal, financial, or other professional advice.
10. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities.
Our total liability shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) £100.
These limitations do not apply to liability for death, personal injury, fraud, or any liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify and hold harmless the Company from claims arising out of your use of the Service, violation of these Terms, or infringement of third-party rights.
12. Term and Termination
12.1 Termination by You
You may cancel your subscription at any time. Cancellation takes effect at the end of your billing period.
12.2 Termination by Us
- Immediately if you breach these Terms
- Immediately if required by law
- With 30 days' notice for any other reason
12.3 Effect of Termination
- Your right to use the Service ends immediately
- You remain liable for unpaid fees
- Certain provisions survive termination
12.4 Refunds
- If we terminate for your breach: no refund
- If we terminate without cause: prorated refund of prepaid fees
- If you terminate: no refund for current billing period
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of England and Wales.
13.2 Informal Resolution
Before formal proceedings, you agree to contact us and attempt to resolve any dispute informally for at least 30 days.
13.3 Jurisdiction
Legal proceedings shall be brought exclusively in the courts of England and Wales.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement regarding the Service.
14.2 Severability
If any provision is unenforceable, it will be modified to the minimum extent necessary, and remaining provisions remain in effect.
14.3 Assignment
You may not assign your rights without our consent. We may assign without restriction.
14.4 Force Majeure
We are not liable for failures due to circumstances beyond our reasonable control.
